Compliance Requirements in DMCC

While rules may differ among different free zones, all the companies operating in DMCC, or at any free zone, must strictly adhere to UAE regulations related to tax, reporting, and compliance to keep their license active and avoid regulatory actions. Accounting Records

As per Section 11, Article 57 of the DMCC Companies Limited by Guarantee Regulations, all the DMCC registered companies must maintain accurate and proper accounting records for all the business transactions. You can either appoint your in-house accounting team to outsource the accounting and bookkeeping to a service provider.

Annual Audit

All the DMCC registered businesses must complete annual audits of their financial statements. Audited accounts are mandatory for license renewal. For dormant companies, DMCC may waive the requirement to submit an annual audited financial statement. When an audit is required, you must appoint one of the DMCC approved auditors to conduct the audit. DMCC will not accept audit reports issued by firms that are not in the list of approved auditors. Corporate Tax

It is mandatory for every mainland and free zone company to register for corporate tax within three months of the incorporation date. Foreign companies managed and controlled from the UAE must complete corporate tax registration within three months of the financial year end. It is a legal obligation to complete your corporate tax registration even if your business qualifies for the 0% corporate tax rate under the QFZP rules. Failure to do so results in late registration penalty of AED 10,000. Similar to registration, timely filing of annual corporate tax return is also mandatory to avoid late filing fines.

Value Added Tax (VAT)

Businesses registered in the UAE must register for VAT if their taxable supplies and imports exceed AED 375,000 over the last twelve months or are expected to exceed this threshold within the next thirty days. Failure to register for VAT will result in late registration penalty of AED 10,000. This is a fixed penalty and generally not waived off by FTA. The FTA will issue a Tax Registration Certificate containing your Tax Registration Number (TRN) once your VAT registration is completed. This certificate will show important details about your registration and due dates for tax filing. Generally, the VAT filing period is quarterly. Businesses must file VAT according to these due dates to avoid late filing penalties.
